Affiliate Program Terms and Conditions

Welcome to the Nova Mind Cloud affiliate program. By signing up and participating in this program, you agree to the following terms and conditions:

1. Eligibility

To be eligible for the Nova Mind Cloud affiliate program, you must meet the following criteria:

• Professional Status: Be a professional duly registered as a business (company, sole proprietor, etc.) and be able to provide a proper invoice.
• Geographic Area: Reside and operate in Europe, the United States, or in one of the countries where Nova Mind Cloud is marketed.
• Legal Compliance: Be in compliance with all applicable laws and regulations in your jurisdiction.

2. Registration

Registration for the affiliate program is done via the Partnero platform. Digital-Cookie SAS, publisher of the Nova Mind Cloud software, reserves the right to refuse any registration that does not meet the eligibility criteria or for any other reason deemed appropriate.

3. Affiliate Obligations

As an affiliate, you agree to:

• Promote Nova Mind Cloud in an ethical and responsible manner, respecting applicable laws and regulations.
• Not make false or misleading statements about Nova Mind Cloud.
• Not use intrusive or unsolicited marketing techniques (spam, etc.).
• Respect the brand guidelines and promotional materials provided by Nova Mind Cloud.
• Highlight the benefits and usefulness of Nova Mind Cloud for users.
• Provide basic assistance to prospects interested in Nova Mind Cloud.

4. Compensation

Affiliates are compensated according to a commission system based on sales generated via their unique affiliate link. Commission calculation is done as follows:

Base Commission

20% of Digital Cookies' net revenue (manager of the Nova Mind Cloud site), after deduction of Stripe fees (1.8 %), VAT and taxes applicable to product marketing.

Commission lifespan

The compensation of 20% described above is valid for the first 12 consecutive months of the referred customer's subscription.

In case of unsubscription of the referred customer, the compensation stops.

Subscription of customer on Nova Mind Services is effective only if the cookie set by Partnero is still active at the time of his purchase (duration: 7 days).

5. Payment

Payments to affiliates are made monthly via bank transfer, subject to the following conditions:

• Minimum Payment Threshold: Payment is made only if the affiliate's balance reaches or exceeds €150. If the balance is less than €150, it is carried over to the next month until the threshold is reached.
• Claim Period: The affiliate has 30 days from the date the commission is made available on their Partnero account to claim it. After this period, the commission is considered null and void.
• Cooling-off Period: Commissions can only be accounted for after a 7-day period following the sale, corresponding to the customer's cooling-off and refund period.
• No Cap: There is no maximum limit on the amount of commissions an affiliate can receive.

6. Use of Media Kit and Promotional Materials

A media kit is made available to affiliates on the Partnero platform. This kit includes visual and textual elements designed to facilitate the promotion of Nova Mind Cloud.

The affiliate is free to use the provided media kit or any other means at their disposal to promote the affiliate program, provided they comply with applicable laws and regulations, as well as these terms and conditions. In particular, the affiliate agrees not to use promotional materials that are:

• False or misleading
• Infringing on third-party intellectual property rights
• Defamatory, offensive, or damaging to the image of Nova Mind Cloud or Digital-Cookie
• In violation of the rules of the Partnero platform or any other platform used for promotion.

7. Right of Refusal and Modifications to Terms and Conditions

• Right of Refusal: Digital Cookies reserves the right to refuse the registration of any person to the Nova Mind Cloud affiliate program, at its sole discretion and without having to justify its decision.
• Modifications to Terms and Conditions: Digital Cookies may modify these terms and conditions at any time. Unless otherwise indicated, modifications will take effect immediately upon publication on the Partnero platform or by any other appropriate means of communication. It is the affiliate's responsibility to regularly consult the terms and conditions to become aware of any modifications. Continued use of the affiliate program after publication of modifications constitutes acceptance of these modifications.

8. Duration and Termination

This agreement takes effect upon your registration in the program and continues until terminated by either party. You may terminate your participation in the program at any time by notifying us in writing. Nova Mind Cloud may terminate your participation in the program at any time, with or without cause, by notifying you in writing.

9. Liability

Digital-Cookie SAS cannot be held liable for indirect, consequential, or incidental damages arising from your participation in the affiliate program.

10. Applicable Law and Competent Jurisdiction

These terms and conditions are governed by applicable law. Any dispute relating to the interpretation or execution of these terms and conditions will be submitted to the competent jurisdiction.
