1. ENTIRETY

These general terms and conditions of sale and use apply to all holistic AI coaching services offered by the Nova-Mind.cloud platform, operated by Digital Cookie SAS.

They apply in their entirety to any subscription taken out, regardless of the plan chosen. These general terms and conditions of sale and use may be modified without notice. The applicable conditions are those in effect at the time of subscription.

2. PURPOSE

Digital Cookie SAS offers personalized coaching services through Nova-Mind.cloud that integrate artificial intelligence, including professional coaching, personal coaching, intelligent task management, and holistic support via advanced conversational AI.

It is the client's responsibility to use their skills and judgment to make the best use of the advice and tools made available by Nova-Mind.cloud. Use of the Nova-Mind.cloud platform constitutes full and complete acceptance of these general terms and conditions of sale and use.

3. ORDERS AND SUBSCRIPTION

Any subscription made with Nova-Mind.cloud is firm and final for the client upon payment validation and user account activation. Subscription can be made directly online via our secure platform or by any other electronic ordering method made available.

4. SERVICES AND PRICING

Nova-Mind.cloud offers AI coaching services in SaaS (Software as a Service) mode with different subscription plans. All our services include access to Nova artificial intelligence, feature updates, and basic technical support.

Nova-Mind AI coaching includes unlimited access to coaching sessions, intelligent task management, behavioral analysis, personalized recommendations, and integration with your existing tools (calendar, emails, CRM, etc.).

4.3 Technical Support

Basic technical support (configuration help, bug fixes, standard usage questions) is included in the subscription price. Support for specific customizations or complex integrations may be subject to additional billing upon quote.

5. ADDITIONAL COSTS AND APIs

5.1 Artificial Intelligence

Nova-Mind.cloud integrates advanced artificial intelligence services. The costs related to AI APIs (OpenAI, Claude, etc.) are not included in the subscription.

6. PAYMENT AND BILLING

6.1 Payment Methods

Payments are processed securely by our payment partners. By using Nova-Mind.cloud, the client accepts the terms of use and privacy policy of Paddle.

We use a secure online payment solution to guarantee the protection of your banking details. All transactions are encrypted and processed via advanced security protocols.

6.2 Recurring Billing

Subscriptions are billed monthly or annually depending on the chosen plan. Automatic billing occurs on the subscription anniversary date.

6.3 Payment Delays

In case of payment default, access to Nova-Mind.cloud services will be suspended after a 7-day notice period. Late payment penalties at the legal rate in force may be applied.

7. ACTIVATION AND DELIVERY

7.1 Activation Methods

Service activation takes effect immediately after payment validation and receipt of access credentials by email.

7.2 Premium Setup

The premium setup includes a personalized configuration session lasting 2 hours with a Nova-Mind expert, scheduled within 7 days following subscription.

7.3 Transfer of Responsibilities

Transfer of responsibilities occurs on the date of service activation. The client then becomes responsible for the security of their credentials and the use made of the platform.

8. REFUND POLICY

8.1 Refund Conditions

Refund requests will be examined on a case-by-case basis by our customer service. If the service is not suitable, the client may request a refund within 14 days following activation. After this period, no refund request will be accepted, except in case of major technical failure on our part.

8.2 Refund Process

In case of accepted refund, the client will be refunded using the same payment method used during their subscription. The client will immediately lose access to Nova-Mind.cloud and must cease all use of our services.

9. TERMINATION AND CANCELLATION

9.1 Termination by Client

The client may terminate their subscription at any time from their client area. Termination takes effect at the end of the current subscription period.

9.2 Termination by Nova-Mind.cloud

We reserve the right to terminate a subscription in case of non-payment, fraudulent use, or non-compliance with these terms of use.

10. LIMITATION OF LIABILITY

By express agreement between the parties, Digital Cookie SAS is subject under these terms to a best efforts obligation regarding AI coaching services.

Under no circumstances can Digital Cookie SAS be held responsible for: (a) indirect or intangible damages, (b) damages related to delivery delays, (c) damages related to inappropriate use of the coaching service, (d) damages due to causes beyond our control.

Nova-Mind.cloud provides advice and support via artificial intelligence. Decisions made by the client remain under their sole responsibility. AI coaching does not replace medical or psychological professional support where appropriate.

11. INTELLECTUAL PROPERTY

All elements of Nova-Mind.cloud (software, algorithms, interface, content) remain the exclusive property of Digital Cookie SAS. The client only obtains a right of use limited to the duration of their subscription.

Data and content created by the client via Nova-Mind.cloud belongs to them. We undertake not to use this data for commercial purposes without express authorization.

12. CONFIDENTIALITY AND DATA

Conversations and data exchanged with Nova-Mind.cloud are treated in a strictly confidential manner. We apply the highest security standards to protect your personal and professional information.

In accordance with GDPR, you have rights of access, rectification, portability and deletion of your personal data. These requests may be addressed to privacy@nova-mind.cloud.

13. UPDATES AND DEVELOPMENTS

Nova-Mind.cloud constantly evolves to integrate the latest advances in artificial intelligence and coaching. Updates and new features are included in the subscription at no additional cost.

14. FORCE MAJEURE

Our service obligations are suspended by right in case of force majeure or events such as third-party AI service failures, cyber-attacks, infrastructure failures, government restrictions, or any unforeseeable circumstances beyond our control preventing normal service execution.

15. APPLICABLE LAW AND JURISDICTION

These conditions are subject to French law. Any dispute relating to the use of Nova-Mind.cloud will be, failing an amicable agreement, under the exclusive jurisdiction of the Commercial Court of Caen.
